Amsterdam, 11 May 2026 - Heineken Holding N.V. (EURONEXT:HEIO; OTCQX: HKHHY), hereby reports transaction details related to the second tranche of up to circa €375 million tranche of its share buyback programme of up to circa €750 million as communicated on 12 February 2026.

From 4 May 2026 up to and including 8 May 2026 a total of 184,230 shares were repurchased on exchange at an average price of € 60.61.

Up to and including 8 May 2026, a total of 1,070,032 shares were repurchased under the second tranche of the share buyback programme for a total consideration of € 68,794,172.

From 27 April 2026 up to and including 1 May 2026 a total of 88,058 shares were repurchased on exchange at an average price of € 59.77.

Up to and including 1 May 2026, a total of 885,802 shares were repurchased under the second tranche of the share buyback programme for a total consideration of € 57,627,267.

HEINEKEN HOLDING N.V. ANNUAL GENERAL MEETING ADOPTS ALL PROPOSALS 

Heineken Holding N.V. announced today that its Annual General Meeting of Shareholders (AGM) has adopted all proposals on the agenda of the AGM. The key resolutions are listed below.

Dividend
The Board of Directors announced the distribution of a dividend for the year 2025 of EUR 1.90 per share. As an interim dividend of EUR 0.74 was paid on 7 August 2025, the final dividend of EUR 1.16 per share will be made payable on 5 May 2026. Heineken Holding N.V. shares will be quoted ex-dividend on 27 April 2026.

Distribution out of the company’s free reserves
The AGM approved the proposed distribution of EUR46 million from the Company’s free reserves, in accordance with the law and the Company’s Articles of Association. This amounts to circa EUR 0.16 per outstanding share, payable on 5 May 2026.

Adjustment to the Remuneration Policy
The AGM approved the proposed adjustment to the Board of Directors’ remuneration policy regarding travel expenses.

Reappointment of a non-executive member of the Board of Directors
The AGM reappointed Mrs A.M. Fentener van Vlissingen as non-executive member of the Board of Directors for a two-year term.

Reappointment of a non-executive member of the Board of Directors
The AGM reappointed Mrs L.L.H. Brassey as non-executive member of the Board of Directors for a four-year term.

Appointment of a non-executive member of the Board of Directors
The AGM appointed Mr C.A.G. de Carvalho as non-executive member of the Board of Directors for a four-year term.

Reappointment of External Auditor
The AGM reappointed KPMG Accountants N.V. (KPMG) as external auditor for financial reporting for the financial year 2027, and as external auditor for sustainability reporting for the financial year 2027.

Segments and Brands: global brands and priority segments delivering quality growth

  • Premium volume grew 5.8%, led by Heineken® up 6.9%.
  • Global brands volume up 5.7%, with Amstel and Desperados growing by a high-single-digit.
  • Mainstream volume declined slightly, with HEINEKEN's local power brands in growth led by Harar and Cruzcampo.
  • Low- and non-alcohol (LONO) grew by a double-digit led by Heineken® 0.0 globally and Maltina in Nigeria.
  • Beyond beer volume grew by a mid-single-digit, led by Desperados globally and Bernini at HEINEKEN Beverages.

Regional performance: priority markets lead the growth

  • Africa & Middle East: robust price-mix and volume growth led by Ethiopia and HEINEKEN Beverages.
  • Americas: solid price-mix offsetting modest volume declines in Brazil and Mexico.
  • Asia Pacific: strong start of the year driven by Vietnam, supported by festive timings, India, and China.

Heineken Holding N.V. reports transactions under its current share buyback programme

Amsterdam, 30 March 2026 - Heineken Holding N.V. (EURONEXT:HEIO; OTCQX: HKHHY), hereby reports transaction details related to the second tranche of up to circa €375 million tranche of its share buyback programme of up to circa €750 million as communicated on 12 February 2026.

From 23 March 2026 up to and including 27 March 2026 a total of 87,015 shares were repurchased on exchange at an average price of € 61.14.

Up to and including 27 March 2026, a total of 499,375 shares were repurchased under the second tranche of the share buyback programme for a total consideration of € 33,670,144.

Amsterdam, 23 March 2026 - Heineken Holding N.V. (EURONEXT:HEIO; OTCQX: HKHHY), hereby reports transaction details related to the second tranche of up to circa €375 million tranche of its share buyback programme of up to circa €750 million as communicated on 12 February 2026.

From 16 March 2026 up to and including 20 March 2026 a total of 80,759 shares were repurchased on exchange at an average price of € 64.46.

Up to and including 20 March 2026, a total of 412,360 shares were repurchased under the second tranche of the share buyback programme for a total consideration of € 28,349,787.
